END USER LICENSE AGREEMENT

SECTION 01 // OVERVIEW

Acceptance of the Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("Licensee" or "User") and Nephilim Trading LLC ("Licensor," "we," or "us"). This EULA governs your use of our proprietary algorithmic trading scripts, Quantitative Scoring Engine, indicators, software, and any associated documentation (collectively, the "Software").

By accessing, subscribing to, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not use or access the Software.

SECTION 02 // LICENSE GRANT

Limited License

Subject to your compliance with this EULA and your payment of any applicable subscription fees, Nephilim Trading LLC grants you a revocable, non-exclusive, non-transferable, limited license to access and use the Software for your individual or internal corporate trading activities.

The Software is provided to you on an "Invite-Only" basis via the TradingView platform or other designated delivery methods. The license is granted to a single, specific TradingView account and exchange UID registered to you.

SECTION 03 // RESTRICTIONS

Prohibited Uses

You agree not to, and you will not permit others to:

Copy or Reproduce: Copy, modify, translate, or create derivative works of the Software.
Reverse Engineer: Decompile, reverse engineer, disassemble, or attempt to derive the source code, underlying algorithms, or quantitative logic of the Software.
Distribute: Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Software to any third party.
Bypass Security: Remove or alter any proprietary notices or attempt to circumvent any security features, DRM, or access controls integrated into the Software.
Commercial Exploitation: Use the Software to operate a signal service, copy-trading service, fund management service for third-party capital, or any similar commercial enterprise without explicit written permission from Nephilim Trading LLC. Trading your own corporate or personal capital is expressly permitted.

SECTION 04 // INTELLECTUAL PROPERTY

Ownership

The Software and all intellectual property rights therein are the exclusive property of Nephilim Trading LLC. This EULA does not convey any ownership interest in the Software to you. All rights not expressly granted to you are reserved by Nephilim Trading LLC.

SECTION 05 // UPDATES & MODIFICATIONS

Changes to the Software

Nephilim Trading LLC may from time to time provide enhancements, updates, or modifications to the Software. These updates may alter the behavior, performance, or UI of the Software. We reserve the right to modify or discontinue any feature or component of the Software at any time without notice.

SECTION 06 // TERMINATION

License Revocation

This EULA is effective until terminated. Your rights under this EULA will terminate automatically and immediately without notice if you fail to comply with any term of this agreement, our Terms of Service, or if your subscription is canceled.

Upon termination, your access to the Software will be revoked via the TradingView platform or associated APIs. You shall have no right to claim a refund for any termination resulting from a breach of this EULA.

SECTION 07 // NO WARRANTIES

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. NEPHILIM TRADING LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF BUGS, NOR DO WE GUARANTEE ANY SPECIFIC TRADING RESULTS, PROFITS, OR RETURNS.

SECTION 08 // LIMITATION OF LIABILITY

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEPHILIM TRADING LLC OR ITS AFFILIATES BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THIS EULA OR THE USE OF OR INABILITY TO USE THE SOFTWARE.

SECTION 09 // GOVERNING LAW

Jurisdiction

This EULA shall be governed by and construed in accordance with the laws of the Republic of Poland, excluding its conflict of law principles. Any dispute arising out of or relating to this EULA shall be subject to the exclusive jurisdiction of the courts located in Poland.
