Acceptance of Terms

Welcome to nephilimtrading.com ("Website"), operated by Nephilim Trading LLC ("Company," "we," "us," or "our"). By accessing or using this Website, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must discontinue use of the Website immediately.

These Terms apply to all visitors, users, and subscribers who access or use the Website, including the algorithmic and Quantitative Scoring Engine subscription services offered herein.

Eligibility: You must be at least 18 years of age, or the age of majority in your jurisdiction, to use this Website or subscribe to our services. By using the Website, you represent and warrant that you meet these eligibility requirements.

Access Requirements & Security

To access our algorithmic and Quantitative Scoring Engine strategies, you are not required to create a traditional user account on our Website. Instead, access is granted via exchange UID verification and managed through our Merchant of Record, Whop.

Affiliate Registration: You must register an account with one of our approved exchange partners (e.g., Bybit, Blofin, Hyperliquid, or ZuluTrade) using our provided affiliate links.

UID Verification: Once registered, you will submit your exchange User Identification Number (UID) on our Website. Our automated systems will verify this UID against the respective exchange APIs to ensure it is valid and appropriately linked.

Payment & Data Storage: After selecting your subscription tier, you will be redirected to our payment processor, Whop, to complete the transaction securely. We do not store any financial or payment data on our servers. All financial transactions and subscription management are handled entirely by Whop. However, your submitted exchange UID and TradingView username will be stored in our database for verification and access management purposes.

Audits & Compliance: We conduct regular audits to verify affiliate status. If an audit reveals that your UID does not match our affiliate dashboard records, your subscription access will be immediately revoked, and your TradingView username will be permanently banned from our services.

User Responsibility: You are solely responsible for maintaining the security of your third-party exchange accounts and your Whop payment details. Sharing exchange UIDs or subscription access with unauthorized parties is strictly prohibited and will result in permanent termination of your access without refund.

Ownership & Trademarks

All content on this Website — including but not limited to text, graphics, logos, the "NEPHILIM TRADING" brand name, strategy descriptions, code architecture diagrams, Bloomberg-style terminal interfaces, strategy naming conventions (e.g., "AI NEU JUGGERNAUT," "AI PC SHED," "ALGO BEHEMOTH"), design elements, and software — is the exclusive property of Nephilim Trading LLC or its licensors and is protected by applicable copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Website and its content for personal, non-commercial purposes only. You may not:

• Copy, reproduce, distribute, or create derivative works of any content
• Reverse-engineer, decompile, or attempt to extract the source code of any trading strategies, Pine Script indicators, or algorithmic logic
• Use any trademarks, logos, or branding without prior written consent
• Scrape, data-mine, or programmatically extract any information from the Website

Restrictions on Use

When using the Website and our services, you agree NOT to:

• Use the Website for any unlawful purpose or in violation of any local, state, national, or international law
• Share, resell, sublicense, or redistribute any trading strategies or scripts obtained through your subscription
• Attempt to gain unauthorized access to any portion of the Website, related systems, or networks
• Interfere with or disrupt the Website's infrastructure, servers, or security features
• Impersonate another user, person, or entity, or falsify your exchange UID
• Use bots, crawlers, or automated tools to access or interact with the Website without our express permission
• Transmit viruses, malware, or any other malicious code
• Engage in any activity that could damage, disable, or overburden the Website

Billing & Subscription Terms

Nephilim Trading LLC offers subscription-based access to trading strategies through tiered plans (Silver, Gold, and Platinum). By subscribing, you agree to the following:

• Recurring Billing: Subscriptions are billed on a recurring basis (monthly or annually) via our payment processor, Whop. By subscribing, you authorize automatic recurring charges until you cancel
• Price Changes: We reserve the right to modify pricing at any time. Existing subscribers will be notified of any price changes at least 30 days in advance
• Access Restrictions: Platinum tier access is invite-only and capacity-limited to preserve strategy alpha. Approval is at our sole discretion
• UID Verification: You must verify your exchange UID through an approved affiliate partner (e.g. Bybit, Blofin, Hyperliquid, or ZuluTrade) to unlock subscription access

Suspension & Termination of Access

We reserve the right to suspend, restrict, or terminate your account and access to the Website at any time, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms of Service
• Suspected fraudulent, abusive, or illegal activity
• Sharing or redistributing subscription content
• Failure to maintain a verified exchange UID through an approved affiliate partner
• At our sole discretion, for any reason we deem appropriate

Upon termination, your right to use the Website and access any subscribed strategies will cease immediately. We are not obligated to provide refunds upon termination for cause. Sections regarding intellectual property, limitation of liability, and governing law shall survive termination.

Risk Disclosure & No Financial Advice

IMPORTANT: Nephilim Trading LLC provides algorithmic and Quantitative Scoring Engine strategies for informational and educational purposes only. Nothing on this Website constitutes financial advice, investment advice, trading advice, or any other form of advisory service.

Trading Risk: Trading cryptocurrencies, forex, equities, and other financial instruments involves substantial risk of loss and is not suitable for every investor. Past performance of any strategy is not indicative of future results. You should never invest more than you can afford to lose.

You acknowledge and agree that you use our strategies entirely at your own risk and that Nephilim Trading LLC shall not be liable for any trading losses, missed opportunities, or financial damages arising from the use of our strategies.

Limitation of Liability

THE WEBSITE AND ALL CONTENT, STRATEGIES, TOOLS, AND SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEPHILIM TRADING LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE OR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland, without regard to its conflict of law principles.

Any disputes arising from or relating to these Terms or your use of the Website shall be resolved exclusively in the competent courts located in Poland. You hereby consent to the personal jurisdiction of such courts and waive any objections based on venue.

Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Your continued use of the Website after any such changes constitutes your acceptance of the new Terms. If you do not agree to the revised terms, you must stop using the Website.
